Terms & Conditions

• You must be at least 18 years old and legally capable of entering into a binding contract.
• You must not be located in, or a resident of, a jurisdiction where use of the Service is prohibited.
• You must not be on any sanctions list maintained by the UN, EU, UK, US (OFAC), or other competent authority.

You must provide accurate, current, and complete information when registering. We may require identity verification (KYC), proof of address, and source-of-funds documentation before enabling certain features. You are responsible for safeguarding your password, PIN, biometric credentials, and any device used to access the Service.

• Wallet balances represent custodial claims against Black Pheya for the underlying funds.
• Deposits, withdrawals, transfers, and swaps may be subject to fees, limits, and processing times disclosed in-app.
• You are responsible for ensuring destination addresses, account numbers, and counterparty details are correct. Transactions are generally irreversible once confirmed.

• Black Pheya acts as a technology platform connecting buyers and sellers. We are not a party to P2P trades.
• Sellers' assets may be held in escrow until the buyer confirms payment receipt.
• You are solely responsible for verifying counterparties, payment receipts, and complying with your local laws (including tax obligations).
• Disputes are resolved according to the in-app dispute process; our decisions on escrow release are final.

Applicable fees are disclosed in the app before you confirm a transaction. We may update fees with prior notice. Network fees (e.g., blockchain miner fees) are passed through and may fluctuate.

You agree not to use the Service to:

• Engage in money laundering, terrorist financing, fraud, or any illegal activity.
• Trade with sanctioned parties or in sanctioned jurisdictions.
• Misrepresent your identity, payment status, or counterparty information.
• Abuse, exploit, or attempt to bypass the dispute system, fees, or rate limits.
• Use bots, scrapers, or unauthorized automation against the Service.
• Probe, scan, or attempt to breach the security of the Service or other users' accounts.

We may suspend or terminate your account, freeze funds, or restrict features at any time — with or without notice — if we reasonably believe you have violated these Terms, applicable law, or pose a risk to Black Pheya or other users. Legitimate balances will be returned subject to legal and regulatory obligations.

• Crypto-asset values are volatile and you may lose money. Past performance is not indicative of future results.
• Funds held in wallets are subject to operational, technical, and counterparty risks.
• P2P trading carries fraud risk; only release funds when you have independently verified payment.
• Internet connectivity, third-party banks, and blockchain networks may cause delays outside our control.

The Service, including software, designs, logos, and content, is owned by Black Pheya or its licensors and protected by intellectual-property laws. You may not copy, modify, reverse engineer, or create derivative works except as permitted by applicable law.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLACK PHEYA AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY FOR DIRECT DAMAGES SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Black Pheya, its officers, employees, and partners from any claims, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

We may modify the Service or these Terms at any time. Material changes will be announced with at least 14 days' notice via in-app message or email. Continued use after the effective date constitutes acceptance.

These Terms are governed by the laws applicable in our place of incorporation, without regard to conflict of laws principles. Disputes will be resolved through binding arbitration where permitted by law; otherwise in the competent courts of our principal place of business.
